Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using the BabelWrap API, MCP server, website, dashboard, SDK, or any related services (collectively, the "Service"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Acceptable Use Policy, all of which are incorporated herein by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.
If you do not agree to these Terms, you must not create an account or use the Service.
2. Description of Service
BabelWrap provides a REST API and Model Context Protocol (MCP) server that enables programmatic interaction with third-party websites through headless browser automation. The Service allows AI agents and software applications to navigate websites, click elements, fill forms, submit data, and extract information using natural language instructions.
Key aspects of how the Service operates:
- Third-party website interaction: BabelWrap executes browser actions on third-party websites on your behalf. BabelWrap does not own, operate, or control any third-party website accessed through the Service.
- AI-powered processing: The Service uses third-party AI language models (currently provided by Anthropic) to resolve natural language instructions into browser actions and to extract structured data from web pages. As part of normal Service operation, content from third-party websites you access is transmitted to these AI providers for processing.
- Tool, not advisor: BabelWrap is a technical tool. It does not provide legal, compliance, or business advice regarding the legality or appropriateness of accessing any particular website or extracting any particular data.
3. Account Registration and Security
To use the Service, you must create an account by providing a valid email address and password. You agree to:
- Provide accurate and complete registration information.
- Maintain the security and confidentiality of your account credentials and API keys.
- Notify BabelWrap immediately at founders@babelwrap.com of any unauthorized use of your account or API keys.
- Accept full responsibility for all activities that occur under your account or API keys, including actions performed by automated systems and AI agents.
Accounts are for single entities (individuals or organizations) and are non-transferable. BabelWrap reserves the right to refuse registration, suspend, or terminate any account at its sole discretion.
4. User Responsibilities and Legal Compliance
This is a critical section. Please read it carefully.
You are solely responsible for ensuring that your use of BabelWrap complies with all applicable laws, regulations, and the terms of service of any third-party website you interact with through the Service.
Without limiting the foregoing, you specifically acknowledge and agree that:
- Website authorization: You must have the legal right and proper authorization to access and interact with any website you direct BabelWrap to access on your behalf. Many websites prohibit automated access, scraping, or data extraction in their terms of service or robots.txt files. It is your sole responsibility to review and comply with such restrictions before using BabelWrap on any website.
- Data protection compliance: You are solely responsible for compliance with all applicable data protection and privacy laws (including but not limited to GDPR, CCPA, LGPD, and other applicable regulations) with respect to any personal data you collect, extract, process, or store through the Service. You, not BabelWrap, are the data controller for any personal data obtained from third-party websites.
- Intellectual property: You are solely responsible for ensuring that your extraction and use of content from third-party websites does not infringe upon the intellectual property rights of any third party, including copyrights, trademarks, and trade secrets.
- Autonomous agents: If you deploy autonomous AI agents that use BabelWrap, you are fully responsible for their behavior, including any websites they access, data they extract, forms they fill, and transactions they initiate. You must implement appropriate safeguards, monitoring, and controls for any autonomous system using your API credentials.
- Bot detection: You acknowledge that third-party websites may employ bot detection, CAPTCHA systems, or other anti-automation measures. BabelWrap makes no guarantees regarding the ability to interact with any particular website, and you accept all consequences of triggering such detection systems.
- No monitoring by BabelWrap: BabelWrap does not verify, monitor, or control which websites you interact with, what data you extract, or how you use that data. The absence of any intervention by BabelWrap does not constitute approval of your use.
5. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations of the Acceptable Use Policy may result in immediate account suspension or termination without refund.
6. Intellectual Property
- BabelWrap IP: The Service, including its software, documentation, APIs, website, branding, and all related intellectual property, is owned by BabelWrap and protected by applicable intellectual property laws. These Terms do not grant you any rights to BabelWrap's intellectual property beyond the limited right to use the Service in accordance with these Terms.
- Third-party content: Content extracted from third-party websites belongs to the respective website owners or rights holders. BabelWrap claims no ownership of such content. You are solely responsible for your use of extracted content and for respecting the intellectual property rights of third parties.
- Your content: You retain ownership of instructions, configurations, and data you provide to the Service. You grant BabelWrap a limited, non-exclusive license to process your instructions and data solely as necessary to provide the Service.
7. Payment Terms
7.1 Pricing
- Free tier: 500 actions per month, 2 concurrent sessions, at no cost.
- Usage-based billing: $0.01 per action ($10 per 1,000 actions), billed through Stripe. No monthly subscription fee.
- Site mapping: $10 per site, one-time charge per mapping or re-mapping.
7.2 Billing and Payment
- Usage-based billing is processed through Stripe. By adding a payment method and upgrading to the usage-based plan, you authorize BabelWrap to charge your payment method for all accrued usage.
- Charges are triggered automatically when your accrued usage reaches $20 (billing threshold). Any remaining balance is invoiced at the end of each billing period.
- You are responsible for maintaining a valid payment method on file. If a payment fails, your API keys may be deactivated until the outstanding balance is settled.
7.3 Spending Controls
You may configure optional spending caps and alert thresholds through the dashboard. These are advisory tools provided for your convenience. BabelWrap is not liable for charges that exceed a configured spending cap due to processing timing, concurrent sessions, or delayed meter reconciliation.
7.4 Refunds
Actions are consumed in real time and are non-refundable once executed. Site mapping fees are refundable only if the mapping process fails to complete. No refunds will be issued for account terminations resulting from violations of these Terms or the Acceptable Use Policy.
7.5 Disputes and Chargebacks
If you dispute a charge with your payment provider (chargeback), your account will be immediately suspended pending resolution. BabelWrap reserves the right to pursue collection of all outstanding balances. Fraudulent chargebacks may result in permanent account termination.
7.6 Pricing Changes
BabelWrap may modify its pricing at any time. We will provide at least 30 days' notice of material pricing changes via email or prominent notice on the website. Continued use of the Service after the effective date of a pricing change constitutes acceptance of the new pricing.
8. Service Level and Availability
The Service is provided on an "as is" and "as available" basis. BabelWrap does not guarantee any specific level of uptime, availability, or performance unless a separate written service level agreement (SLA) has been executed.
BabelWrap may modify, suspend, or discontinue any part of the Service at any time, with or without notice. Browser sessions expire after 1 hour of inactivity. BabelWrap is not liable for any loss or damage resulting from Service modifications, suspensions, or discontinuations.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- BABELWRAP, ITS FOUNDERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER BABELWRAP WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- WITHOUT LIMITING THE FOREGOING, BABELWRAP SHALL NOT BE LIABLE FOR:
- (a) Any action taken by any third-party website in response to your use of the Service, including but not limited to IP blocking, rate limiting, account suspension, legal action, or any other consequence;
- (b) The accuracy, completeness, legality, reliability, or fitness for any purpose of data extracted from third-party websites;
- (c) Any violation of any third-party website's terms of service, robots.txt directives, or other access policies resulting from your use of the Service;
- (d) Any errors, inaccuracies, or failures in AI-powered element resolution, data extraction, or natural language processing;
- (e) Any damages arising from the behavior of autonomous AI agents using the Service through your account or API credentials;
- (f) Any losses resulting from unauthorized access to your account or API keys due to your failure to maintain adequate security;
- (g) Any interruption, suspension, or termination of the Service or your access thereto.
- BABELWRAP'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO BABELWRAP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF BABELWRAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, BabelWrap's liability shall be limited to the greatest extent permitted by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless BabelWrap, its founders, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:
- Your use of the Service, including any actions performed through your account or API keys;
- Your violation of these Terms, the Privacy Policy, or the Acceptable Use Policy;
- Your violation of any applicable law, regulation, or third-party right;
- Your interaction with any third-party website through the Service, including any claim that such interaction violated the third party's terms of service, intellectual property rights, privacy rights, or any applicable law;
- Any data you collect, extract, process, store, or distribute using the Service;
- Actions performed by autonomous AI agents or automated systems using your account or API credentials;
- Any dispute between you and any third party arising from your use of the Service.
This indemnification obligation shall survive the termination of your account and these Terms.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
Without limiting the foregoing, BabelWrap makes no warranty or representation that:
- The Service will be uninterrupted, timely, secure, or error-free;
- The results obtained through the Service will be accurate, reliable, or complete;
- The Service will successfully interact with any particular third-party website or evade any bot detection or anti-automation measures;
- The Service will meet your specific requirements or expectations;
- Any AI-powered features (including element resolution and data extraction) will produce correct or complete results.
BabelWrap relies on third-party AI services (currently Anthropic) for certain core functions. BabelWrap is not responsible for the availability, accuracy, or performance of these third-party services.
12. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data.
You acknowledge that:
- BabelWrap logs actions performed through the Service for billing, debugging, security, and service improvement purposes.
- Content from third-party websites accessed through the Service is transmitted to third-party AI providers (currently Anthropic) for processing, and such transmission is governed by their respective privacy policies and data processing terms.
- You are responsible for any personal data you extract from third-party websites using the Service, as described in Section 4 of these Terms.
13. Termination
- By you: You may close your account at any time through the dashboard or by contacting founders@babelwrap.com.
- By BabelWrap: BabelWrap may suspend or terminate your account at any time, for any reason, with or without notice, including but not limited to violations of these Terms or the Acceptable Use Policy.
- Effect of termination: Upon termination, (a) your right to use the Service ceases immediately; (b) any outstanding charges remain due and payable; (c) your account data will be handled in accordance with the Privacy Policy.
- Survival: Sections 4 (User Responsibilities), 6 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), 11 (Disclaimers), and 15 (Governing Law) shall survive any termination or expiration of these Terms.
14. Changes to These Terms
BabelWrap reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where practicable, by sending notice to the email address associated with your account.
Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.
15. Governing Law and Dispute Resolution
- Governing law: These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of laws principles.
- Jurisdiction: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal. You waive any objection to venue or jurisdiction in such courts.
- Informal resolution: Before filing any formal legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days. Negotiations shall be initiated by written notice to the other party.
16. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and BabelWrap regarding the Service and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
- No waiver: BabelWrap's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without BabelWrap's prior written consent. BabelWrap may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.
- Force majeure: BabelWrap shall not be liable for any failure or delay in the performance of its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, third-party service outages, or labor disputes.
